ARTWORK
Electronic, vectorized, EPS formatted artwork is preferred. If this is not available, camera-ready, color separated artwork is required. Layout instructions should be clearly stated on order. There will be a one-time art, positive and screen charge for all new screen printed layouts. The charge is dependent upon the number of colors and the size of the flag.

AREA and POSITIONING OF ARTWORK
Artwork layout (logo size) will vary with each design, and with each type and style of product. Logos are positioned for best appearance in our judgment. Screen printed items are one-sided only unless otherwise specified on order.

CARE OF PRODUCT
UB&F manufactures its products to the highest quality industry standards of material and workmanship. However, one important factor we cannot control is the way flags are treated by customers. Premature flag failure can be prevented.

CLAIMS
Claims for shortage, defects and nonconforming goods must be made by buyer in writing within three (3) days of receipt of the goods, and no claim made after the expiration of such period will be entertained or allowed. Such writing shall state all material facts concerning the claim then known to the buyer. Buyer shall hold the goods in question until further notice from seller. Buyer shall in not return any goods to seller unless expressly authorized to do so in writing by seller.

CREDIT TERMS
All Special Orders: We accept Visa, Master Card, and checks. C.O.D. shipments will only be allowed with guaranteed funds (certified check, money order or cashier's check). 50% deposit with order, with the remaining balance due prior to shipping. Customers requesting open account privileges should supply at least four current credit references, and any other relevant credit information. Adequate time should be allowed for reference checks. Orders requiring shipment prior to credit approval must be paid in advance.

Existing Accounts: NET 30 days from invoice date. Past due accounts are placed guaranteed funds C.O.D. for future orders without notification.

DROP OR SPLIT SHIPMENTS
A charge of $5 will be added for shipments to each additional drop ship location.

FREIGHT CHARGES
Shipments are FOB unless specifically quoted otherwise. Unless specifically requested, orders will be shipped via FedEx Ground or UPS Ground. Freight charges will be added to the invoice. Any quotations provided for freight charges prior to shipping are estimates only.

OVERRUNS & UNDERRUNS
Due to printing variations, we reserve the right to over or under ship by 5%, and this will constitute a complete order.

PRICE CHARGES
List prices are shown on this price sheet. Prices are subject to change without notice.

PRODUCTION TIME
Normal production time is 2 to 3 weeks (ARO) for re-orders and 3 to 4 weeks (ARO) for new orders. Large quantities or complex products may require longer lead-time.

PRODUCT QUALITY
All products made by seller are inspected before shipment. If any goods prove to have been defective in material or workmanship, and a claim is made by seller, in the manner set forth in CLAIMS paragraph; seller will repair or replace the nonconforming goods, at seller’s sole option. Unless otherwise agreed by seller in writing, seller makes no warranties of merchantability or fitness for a particular purpose. In no event shall Seller be liable to buyer for incidental or consequential damages.

QUANTITIES
Minimum order quantities vary with certain products. Quantities are indicated for each product line in the price list.

RETURNS
Absolutely no merchandise will be accepted for return without written authorization.

RETURNED CHECKS
There is a $25.00 charge for checks returned for any reason.

RUSH ORDERS
Orders requiring shipment in less than normal production time will be charged an additional 10% over prices in effect. This applies to new orders, as well as reorders.

SAMPLES
Random samples are available at a nominal cost upon request.

SHIPPING
Typically, we ship FedEx Ground (3 to 5 day service). Air freight can be requested must be specified with the order. Additional freight costs will be added to the final invoice.

SPECIAL QUOTES
We would be pleased to provide quotes on custom items, large quantities, and other special requests.

TRADEMARKS and LICENSES
Artwork or other materials submitted to us for our use in producing an order will be accepted as being full in compliance with all laws regarding copyrights, trademarks, patents, licenses, and other similar types of protection. Buyer agrees that submitting artwork for our use these laws will not be violated and SpiritGoods.com shall not be held responsible for compliance with such laws.
